01Acceptance & Eligibility
These Terms of Service ("Terms") are a binding agreement between you and SOFX, Inc. ("SOFX," "we," "us") governing your use of SOFX.NET — including email on the SOFX.NET domain, webmail, member messaging, interest groups, file storage, audio and video conferencing, media content, and this website (the "Services"). By creating an account, purchasing a membership, or using the Services, you accept these Terms and our Privacy Policy.
You must be at least 18 years old and capable of forming a binding contract. Memberships are personal and non-transferable, intended solely for your individual use.
02Membership & Services
SOFX.NET provides members with access to:
- AI-free, privacy-assured, secure email accounts on the SOFX.NET domain;
- Messaging features that stay on SOFX servers when communicating member-to-member;
- Interest groups for internal member communication;
- Secure video teleconference capabilities;
- Encrypted file storage;
- Media reports, articles, and insights, and other product and service offerings we may introduce.
We may improve, modify, or discontinue features of the Services. If we discontinue the Services entirely, we will provide reasonable notice and a reasonable opportunity to export your mail and files.
03Accounts & Verification
SOFX.NET is not a self-serve platform. Every application is reviewed and provisioned by our team. To keep the network real:
- You must provide accurate, current information when applying, and keep it current.
- We may contact you to confirm you are a real human before or after provisioning your account.
- Accounts are for one named individual. Sharing credentials, or registering an account for another person or an automated system, is prohibited.
- You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at support@sofx.net of any suspected unauthorized use.
- We reserve the right to decline any application, at our discretion, with a full refund of any amount paid.
04Billing & Renewal
- Memberships are billed through our payment processor (Stripe) at the prices shown on our pricing page at the time of purchase.
- Memberships renew automatically — monthly or annually, per your plan — unless canceled before the renewal date.
- You can manage or cancel your membership anytime through your SOFX.NET account settings. Cancellation stops future charges; it does not retroactively refund past charges except as provided in Section 5.
- We may change pricing with at least 30 days' notice; changes apply from your next renewal.
05Refund Policy
- All memberships — monthly and annual: full refund within 30 days of purchase, no questions asked, if you are not satisfied with the Services.
- After the 30-day window, cancel anytime and the system will stop remitting charges; past charges are not refunded.
- Refund requests must be submitted in writing to support@sofx.net.
- Payment processors may deduct non-refundable fees.
- Accounts terminated for violation of Section 6 or 7 are not eligible for refunds.
06Member Conduct
SOFX.NET is a high-trust network of real, verified people. That trust is a condition of membership, not a suggestion. The following standards apply to all use of the Services — email, messaging, interest groups, file sharing, and conferencing:
- Engage respectfully. Communicate with respect and professionalism. Personal attacks, harassment, stalking, doxxing, discrimination, or hate speech are prohibited and subject to zero tolerance.
- Respect privacy. Treat all member communication as private and confidential. Do not share another member's personal information, content, or correspondence without their explicit consent — inside or outside the network.
- No spam. Do not use SOFX.NET email or messaging to send unsolicited promotional email, bulk messages, or spam of any kind — whether or not it would violate laws such as the CAN-SPAM Act.
- No impersonation. Do not impersonate any person or organization, misrepresent your identity to other members, or register misleading usernames.
- No exploitation of the network. Do not harvest member addresses, solicit members for commercial schemes, or use the member directory or groups for lead generation.
- Report, don't retaliate. If another member violates these standards toward you, report it to support@sofx.net.
Violations may result in immediate suspension or termination of access without refund, at our sole discretion. We may also remove content and, where appropriate, report unlawful conduct to authorities. Thank you for being a professional and a good human.
07Acceptable Use of the Network
In addition to the conduct standards above, you agree not to:
- Use the Services for any unlawful purpose, or to store or transmit unlawful content;
- Transmit malware, phishing messages, or deceptive content, or attempt to compromise any system or account;
- Probe, scan, or test the vulnerability of the Services, or circumvent any security or authentication measure;
- Interfere with the Services or impose disproportionate load on the infrastructure (including bulk-sending patterns inconsistent with personal use);
- Resell, sublicense, or provide the Services to third parties, or use them to operate a service bureau;
- Scrape, crawl, or systematically extract data from the Services, or use any automated system — including AI agents — to access member content;
- Reverse engineer, decompile, or copy any non-public portion of the Services;
- Use the Services in violation of U.S. export control or sanctions laws.
We may establish reasonable sending limits and technical safeguards to protect network deliverability and reputation for all members.
08Your Content & Our IP
Your content stays yours. You retain all rights to the email, files, and other content you store or transmit through the Services. You grant us only the limited license necessary to host, transmit, back up, and display that content to you and your intended recipients — that is, to operate the Services. We claim no other rights, and we do not use your content for advertising or AI training (see our Privacy Policy).
Our property stays ours. The Services — including all software, design, branding, articles, reports, and other content we provide — are the exclusive property of SOFX or its licensors. You may not reproduce, distribute, or commercially exploit SOFX content without our written permission. "SOFX," "SOFX.NET," and associated marks are trademarks of SOFX; nothing in these Terms grants you rights in them.
You are solely responsible for the content you create, store, or transmit, and represent that you have the rights necessary to do so.
09Suspension & Termination
- You may close your account at any time via account settings or by contacting support.
- We may suspend or terminate access immediately, without refund, for violations of Sections 6 or 7, unauthorized access attempts, non-payment, or where required by law.
- Upon closure, we will make your mail and files available for export for a reasonable period (except in cases of termination for serious violations or legal prohibition), after which content is deleted per our Privacy Policy.
- Sections 8, 10, 11, 12, 13, 14, and 15 survive termination.
10Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOFX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR PERFECTLY SECURE. EMAIL IS A FEDERATED SYSTEM; WE CANNOT GUARANTEE THE CONDUCT OF THIRD-PARTY PROVIDERS HANDLING MAIL BEYOND OUR NETWORK. THE SERVICES DO NOT PROVIDE LEGAL, FINANCIAL, MEDICAL, OR OTHER PROFESSIONAL ADVICE.
11Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) SOFX AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) SOFX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO SOFX FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS, THESE LIMITS APPLY TO THE FULLEST EXTENT PERMITTED.
12Indemnification
You agree to defend, indemnify, and hold harmless SOFX and its officers, employees, and agents from and against any claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services, or your violation of these Terms or of any law or third-party right.
13Dispute Resolution & Arbitration
Please read this section carefully — it affects your legal rights.
- Informal resolution first. Before filing any claim, you agree to contact us at contact@sofx.net and attempt in good faith to resolve the dispute informally for 30 days.
- Binding arbitration. Any dispute not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Charleston, South Carolina, or conducted remotely by mutual agreement. Judgment on the award may be entered in any court of competent jurisdiction.
- Class action waiver. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY — NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
- Exceptions. Either party may bring an individual claim in small-claims court, or seek injunctive relief in court for infringement or misuse of intellectual property or unauthorized access to the Services.
- Opt-out. You may opt out of this arbitration agreement by written notice to contact@sofx.net within 30 days of first accepting these Terms.
14Governing Law
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles. For any matter not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Charleston County, South Carolina.
15Legal Information & Notices
The Services are operated by SOFX, Inc., 997 Morrison Dr, Charleston, SC 29403, United States.
- Copyright & trademarks. All content, trademarks, and intellectual property in the Services belong to SOFX or its licensors. Unauthorized reproduction, distribution, or modification is prohibited.
- Copyright complaints. If you believe content on the Services infringes your copyright, send a notice identifying the work and its location to contact@sofx.net. We respond to valid notices and may terminate repeat infringers.
- Third-party links. The Services may link to third-party websites. We are not responsible for their content or privacy practices.
- Compliance. You are responsible for ensuring your use of the Services complies with the laws that apply to you.
- Severability. If any provision of these Terms is held unenforceable, the remainder continues in full force, and the provision will be enforced to the maximum extent permissible.
- No waiver. Our failure to enforce a provision is not a waiver of the right to do so later.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
- Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and SOFX regarding the Services.
16Changes to These Terms
We may update these Terms at any time. Major changes will be communicated via email or prominently within the platform before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
